The scope of services provided to any individual client will be defined in a separate service agreement or statement of work.

By using our website or engaging our services, you represent that you are at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or the organization you represent.
4. Client Responsibilities
You agree to provide accurate, complete, and current information when engaging our services. You are responsible for maintaining the confidentiality of any account credentials, access information, or sensitive data shared with us in connection with your engagement. You agree to cooperate reasonably with Nexlytix LLC in the delivery of services, including providing timely access to systems, personnel, and documentation as required.

6. Confidentiality
Both parties agree to treat as confidential any non-public information shared in connection with the delivery or receipt of services. Nexlytix LLC will not disclose your business information, system details, or security vulnerabilities to unauthorized third parties. Specific confidentiality obligations may be further defined in a separate Non-Disclosure Agreement or service contract.
7. Payment Terms
Fees for services are outlined in your service agreement or invoice. Payment is due in accordance with the terms specified therein. Nexlytix LLC reserves the right to suspend or terminate services in the event of non-payment. All fees are non-refundable unless otherwise stated in your service agreement.
8. Disclaimer of Warranties
Our services are provided on an “as is” and “as available” basis. While we strive to deliver high-quality cybersecurity consulting, Nexlytix LLC does not warrant that our services will prevent all security incidents, breaches, or losses. No cybersecurity solution can guarantee complete protection, and we make no representations or warranties of any kind, express or implied, regarding the outcomes of our services.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Nexlytix LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, even if advised of the possibility of such damages. Our total liability to you for any claim arising from our services shall not exceed the total fees paid by you to Nexlytix LLC in the three months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Nexlytix LLC and its officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of your use of our services, your violation of these Terms, or your infringement of any third-party rights.
11. Termination
Either party may terminate a service engagement in accordance with the terms of the applicable service agreement. Nexlytix LLC reserves the right to terminate or suspend access to our website or services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other clients, third parties, or our business.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in New Mexico.
